INTRODUCTION

This course aims to develop an understanding of the underlying concepts of corporate governance and accounting ethics as well as Corporate Social Responsibility (CSR) which are relevant to the contemporary accounting environment. It is designed to increase students’ understanding of the ethical influences on economic, financial, managerial and environmental aspects of business. The course further aims to develop the ability to critically analyze ethical issues in organizations. It reviews different mandatory processes essential to the understanding of corporate governance. 

Learning Objectives

The main aim of this course is to locate the accounting profession within its wider social and business contexts. Accountants prepare and audit financial statements that have implications fo all stakeholders. That creates an ethical dimension to the financial reporting process. Furthermore, there is a clear role for financial reporting in the maintenance of relationships between the reporting entity and the capital markets. This class will explore the resulting responsibilities arising for accountants in these roles.

Specifically, the objectives of this course are  to:

i.Evaluate  the development and role of corporate governance

ii.Explain the role of governance in sustainability;

iii.Explain the theoretical framework for corporate governance; describe the codes of corporate governance;

iv.Explain the governance structure of a company

v.Describe  the role of shareholders in corporate governance;

vi.Explain the role of board of directors and board committees in corporate governance;

vii.Analyze ethical dilemmas faced by accountants

viii.Explain the purpose of the external audit

ix.Analyze the issues associated with auditor’s independence

x.Discuss internal control and audit procedures;

xi.List the Ethical codes by the Financial Reporting Council of Nigeria, OECD and other Local and International agencies, and explain relevant ethical codes for professional accountants (IFAC Codes of ethics).
